Every Cyprus company has three separate UBO obligations to track, not one. Missing any of them triggers penalties that start small and grow fast.

The Three Deadlines
New entities: 90 days from incorporation to submit initial UBO details.
Any changes: 45 days to report updates to UBO particulars.
Annual confirmation: between 1 October and 31 December every year, mandatory even if nothing has changed since the last filing.
The Penalty
€100 on the first day of non-compliance, then €50 for every additional day, capped at €5,000 per company. This is charged automatically, with no warning and no grace period.
Example (illustrative only): a company that misses the 31 December confirmation deadline and doesn't file until 30 January, a delay of 30 days, faces €100 for the first day plus €50 for each of the remaining 29 days, a total of €1,550. Left unresolved for 99 days, the penalty reaches the full €5,000 cap.
It Can Get Worse Than a Fine
Continued non-compliance can lead to criminal liability or the company being struck off the register by the Registrar of Companies. The company is primarily liable but directors and officers can be held jointly and severally liable in cases of neglect or failure, this isn't purely a company-level risk.
What to Do
Treat all three deadlines as a standing compliance calendar item, not a one-off task. The annual confirmation window (1 October–31 December) is the one most commonly missed since it has no trigger event to prompt action, unlike the 90-day and 45-day deadlines which are tied to something happening.
